You’d be joining a team of 250 passionate, ambitious people across Europe and the USA, building a category-defining product, and united by that same mission. We are a high-growth UK private company with approximately £100 million in revenue and around 75 shareholders.
The Opportunity:
Stream is preparing for an IPO in either the UK or USA within the next 24-36 months. To achieve this, we need to transition our internal governance and corporate structure from a successful private company model to one that is robust, compliant, and ready for the rigors of a public listing.
The challenge is to implement best-in-class governance processes across our UK and US operations. This role will be pivotal in establishing the structural framework required for our IPO, including:
- Structuring and preparing the shareholder registers for the listing.
- Elevating our investor relations to a public company standard.
- Bringing professional governance and board structure to a fast-moving, high-growth environment.
The right person will be excited by the opportunity to own this transformation, embed a culture of good governance, and be a key strategic partner in a major corporate event that will define the future of the company.
The Team:
You will work most closely with the CFO, General Counsel, Co-Founders and wider leadership team, playing a critical role in supporting the Board of Directors and its committees. You'll be the leadership team’s go-to expert for all statutory, regulatory, and corporate governance matters, and your work will be essential to cross-functional projects with the Legal, Finance, and People teams.
The team culture is fast-paced, mission-driven, and highly collaborative. This role will be instrumental in the development of the governance function, allowing you to shape its operating model as the company grows and matures.
What will you be doing?
You will be responsible for establishing and managing a robust corporate governance framework in preparation for the IPO. This includes:
- Corporate Governance: Managing the organisation of the Board, leadership team, and Committee meetings, including preparation of agendas, minute-taking, action follow-up, and ensuring adherence to statutory and best practice governance codes. For a company of its size Stream has a number of legal entities, some of which are regulated.
- IPO Readiness: Leading the corporate restructuring efforts if needed, including developing a scalable governance plan and ensuring compliance across UK and US legal entities.
- Shareholder Management: Maintaining the company’s shareholder register, managing share schemes, and acting as a primary point of contact for investor relations and shareholder queries.
- Compliance & Statutory Duties: Ensuring timely and accurate filings with Companies House and other regulatory bodies, and advising the business on compliance with corporate legislation.
What experience might you have? (But if you’re close… we'd still love to talk to you!)
- Significant experience as a Company Secretary or Deputy Company Secretary for a listed company.
- Demonstrable experience preparing a private company for an IPO or similar corporate transaction
- Deep knowledge of the UK corporate governance framework and statutory compliance (e.g., Companies Act 2006).
- Experience in managing shareholder registers and employee share schemes for a sizeable and active investor base.
- An ICSA qualification (or equivalent professional body) is highly desirable.
Can-be-learnt:
We are open to a candidate learning or developing in the following areas:
- Exposure to US entity governance and compliance.
- In-depth familiarity with the governance requirements of a specific stock exchange (e.g., the Main Market or AIM).
- Experience with managing investor relations in a public setting.
Outcomes:
Within 1 month you’ll have:
- Conducted a governance audit of the current Board and Committee structures, identifying immediate compliance gaps.
- Taken ownership of the next Board meeting cycle, managing the agenda, logistics, and minute-taking process.
- Established a strong working relationship with the CFO, CEO, and General Counsel.
Within 3 months you’ll have:
- Delivered a formal proposal to the Board outlining a new governance structure required for IPO readiness.
- Completed the full reconciliation and clean-up of the company’s share and option registers, implementing a robust, repeatable maintenance process.
Within 6 months you’ll have:
- Implemented the new governance framework across the organisation, including updated terms of reference for all Board committees.
- Mapped out all corporate secretarial aspects of the initial IPO pre-work, such as entity clean-ups and drafting key corporate documents.
Working Policy:
Expectation of attending the London office 3-4 days a week.
Salary:
From £90,000 to £130,000 + participation in company equity scheme
