The Role

As Senior Legal Counsel, you will play a leading role in the legal function. You will be expected to coordinate and act as a trusted adviser on key projects across the business. You will have an opportunity to apply your expertise to further enhancing Kriya’s strategy, processes and products.

We are looking for a driven, determined and adaptable solicitor with at least 5 years PQE who is excited by our mission to provide an Enterprise PayLater solution and other market-leading merchant services. You will play a critical role in providing best-in-class legal advice to the Company’s senior leadership team and multiple internal stakeholders including the capital markets, product, sales, marketing, risk, finance and HR teams.

The role will be extremely broad and the successful candidate can be expected to hit the ground running within their existing areas of expertise.

What you'll be doing:

  • Advising on the full range of commercial agreements including marketing arrangements, contractual joint ventures, master service, partnership, brokerage, investment and distribution agreements as well as vendor, SaaS and other supplier contracts.
  • Advising on structured finance transactions and securitisations used to fund business loan portfolios and product offerings.
  • Assisting the FinCrime team on compliance matters.
  • Maintaining and updating product terms and conditions relating to the Company’s lending products.
  • Advising on guarantee, security and subordination arrangements for business loan and invoice finance customers.
  • Advising on equity fundraisings, shareholders agreements and managing legal and regulatory due diligence.
  • Corporate governance matters including board minutes, resolutions and maintaining company filings with Companies House.
  • Maintaining and updating the Company’s policies and procedures including compliance and data protection.
  • Participating in the management of the Company’s Share Options Incentive Scheme.
  • Advising on enforcement actions, including letters before action.
  • Supervision and mentoring of paralegals and junior staff
  • Deliver training to other areas of business and maintain the highest standards of compliance.
  • Liaising with and instructing external advisers on a broad area of legal disciplines including litigation, employment, data protection, intellectual property and financial regulation.
